Master Subscription Agreement

This Master Subscription Agreement ("Agreement") is entered into between Infinite Solutions LLC d/b/a Shift Elevate ("Shift Elevate", "we", "us", or "our") and the subscribing facility or organization identified on the applicable order form ("Customer", "you", or "your").

This Agreement governs Customer access to and use of the Shift Elevate software-as-a-service platform for workforce scheduling and related operational workflows.

Subject to payment of applicable fees and compliance with this Agreement, Shift Elevate grants Customer a limited, non-exclusive, non-transferable right to access and use the hosted service during the subscription term.

Customer may permit only authorized users (including employees and contractors) to use the service for Customer's internal business operations. Customer remains responsible for all activity under its accounts.

Subscription fees are specified in the applicable order form and billed on the stated billing frequency. Unless otherwise agreed in writing, charges are due monthly in advance and are non-refundable except as required by law.

Customer authorizes Shift Elevate and its payment processor to charge the payment method on file for subscription and other agreed charges. Late payments may result in suspension of service access after reasonable notice.

Customer is responsible for accuracy of submitted data, maintaining account security, and ensuring that all use complies with applicable law and this Agreement.

Customer will not: (a) reverse engineer the service; (b) interfere with platform operations; (c) upload harmful code; or (d) use the service in a manner that infringes third-party rights.

As between the parties, Customer retains ownership of Customer-submitted data. Customer grants Shift Elevate the limited rights necessary to host, process, transmit, and display such data to deliver the service.

Each party will protect the other party's non-public information using reasonable safeguards and will use such information only to perform obligations or exercise rights under this Agreement.

This Agreement starts upon clickwrap acceptance and remains effective for the subscription term identified in the order form. Unless otherwise stated, subscriptions renew automatically for successive monthly terms.

Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice. Shift Elevate may suspend or terminate access for non-payment or significant security risk.

Shift Elevate warrants that it will provide the service in a professional and workmanlike manner. Except as expressly stated, the service is provided "as is" and Shift Elevate disclaims implied warranties including merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Shift Elevate's aggregate liability under this Agreement will not exceed amounts paid by Customer in the twelve (12) months preceding the event giving rise to the claim.

This Agreement, together with the order form, Terms of Service, and Privacy Policy incorporated by reference, is the complete agreement between the parties regarding the service.

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Any amendments must be in writing, except updates presented through clickwrap acceptance for future terms.
